Wild Rye – Purchase Order Terms and Conditions

  1. Agreement
    These terms apply to all goods and services sold to Wild Rye. Seller’s fulfillment of a PO constitutes full acceptance of these terms.

  2. Pricing & Invoicing
    Prices include all taxes (if applicable), shipping (if applicable), and fees (if applicable) unless stated otherwise. Prices follow agreed trading terms. Wild Rye reserves the right to withhold payment for incomplete, defective, or late shipments.

  3. Quality & Compliance
    Goods and services must meet Wild Rye’s specifications and all applicable laws and regulations. Certificates of Compliance or Analysis must be provided upon request.

  4. Delivery
    On-time delivery is essential. Shipments must match PO specifications. Early, late, incomplete, or unauthorized deliveries may be rejected or returned at Seller’s expense. Late shipments will be eligible for air shipment if Buyer requests, at Seller’s expense if delay is caused by Seller.

  5. Changes & Cancellations
    Wild Rye may request changes to the order or cancel it in whole or in part. If canceled, Seller may submit claims for actual, documented costs incurred prior to notice.

  6. Inspection & Acceptance
    Wild Rye reserves the right to inspect goods upon delivery or during use and Wild Rye will notify Supplier if any nonconforming or defective goods are found and work with Supplier to resolve.

  7. Warranties
    Seller warrants that all goods and services are free of defects, conform to specifications, are fit for intended use, and do not infringe on any third-party rights.

  8. Risk of Loss
    Based on trading terms, Importer of Record bears all risk until goods are received and accepted at Wild Rye’s designated location.

  9. Confidentiality
    All information shared by Wild Rye must be kept confidential and not disclosed without written permission.

  10. Force Majeure
    Neither party is liable for delays due to events beyond reasonable control. Wild Rye may cancel if delays exceed 30 days.

  11. Insurance
    Seller must carry general liability and product liability insurance with minimum limits of $1,000,000 per occurrence, naming Wild Rye as an additional insured upon request.

  12. Indemnification
    Seller agrees to defend and indemnify Wild Rye against any claims, damages, or liabilities arising from Seller’s goods, services, or conduct.

  13. Governing Law 
    This agreement is governed by the laws of the State of Idaho.
